Terms of Use

1. Acceptance & Scope

By accessing or using this website (the "Site") operated by BAY STREET INTEGRITY REALTY INC. ("we," "our," or the "Brokerage"), you ("you" or the "Registrant") agree to be bound by these Terms of Use ("Terms") and the accompanying Privacy Policy. If you do not agree, do not use the Site.

These Terms do not impose a financial obligation on you and do not create an agency or representation agreement between you and the Brokerage. A "mouse click" indicating agreement at sign-in is sufficient acknowledgement of these Terms; any separate agency or representation agreement, if entered into, will be established in writing and prominently labelled as such.

The Site is a Virtual Office Website ("VOW") through which the Brokerage provides residential real estate brokerage services to consumers. Access to certain content is restricted to registered users with a bona fide interest in the purchase, sale, or lease of real estate.

2. PropTx & TRREB Listing Data

Real estate listing information displayed on the Site is sourced from the Multiple Listing Service® data feed of PropTx Innovations Inc. ("PropTx") on behalf of the Toronto Regional Real Estate Board ("TRREB"). By using the Site you agree to each of the following:

  1. You acknowledge that you are entering into a lawful broker–consumer relationship with the Brokerage in connection with your use of MLS® data presented through the Site.
  2. All MLS® data obtained from the Site is intended only for your personal, non-commercial use.
  3. You have a bona fide interest in the purchase, sale, or lease of real estate of the type being offered through the Site.
  4. You will not copy, redistribute, retransmit, or otherwise use any of the data or Listing Information provided, except in connection with your consideration of the purchase, sale, or lease of an individual property.
  5. You acknowledge PropTx's ownership of, and the validity of PropTx's proprietary rights and copyright in, the MLS® database, MLS® data, PropTx's MLS® System, and Listing Information.
  6. You will not, directly or indirectly, display, post, disseminate, distribute, publish, broadcast, transfer, sell, or sublicense any Listing Information to another individual or entity. The prohibited uses expressly include "scraping" (including "screen scraping" and "database scraping"), "data mining," and any other activity intended to collect, store, re-organize, summarize, or manipulate any Listing Information or any related data.
  7. Your acknowledgement of these Terms by mouse click is sufficient acceptance. These Terms do not impose a financial obligation on you and do not create any representation agreement between you and the Brokerage.
  8. You expressly authorize PropTx, TRREB, and other PropTx Members or their duly authorized representatives to access the Site (including your registration data) for the purposes of verifying compliance with PropTx's MLS® Rules and Policies (including the VOW Rules) and monitoring the display of Members' listings on the Site.
  9. You acknowledge the Privacy Policy, which describes how Personal Information that you provide may be collected, used, or disclosed, including the fact that Personal Information may be shared with PropTx and TRREB for auditing and/or legal purposes.

The information displayed on the Site is deemed reliable but is not guaranteed accurate by PropTx or TRREB.

3. PropTx Minimum Terms of Use Requirements

A Member's VOW must obtain the identity of each Consumer and obtain each Consumer's agreement to Terms of Use of the VOW, as follows:

(a)

Consumers must provide their name and a valid email address. The Member must send an email to the address provided by the Consumer confirming that the Consumer has agreed to the Terms of Use (described in paragraph 7(c) below). The Consumer may be permitted to access the VOW only after the Member has verified that the email address provided is valid and that the Consumer agreed to the Terms of Use.

(b)

The Consumer must supply a username and a password, the combination of which must be different from those of all other Consumers on the VOW, before being permitted to search and retrieve Listing Information via the VOW. The username and password may be established by the Consumer or may be supplied by the Member, at the option of the Member. An email address may be associated with only one username and password. Consumers' passwords may be valid for up to 90 days, after which such passwords must be renewed or reconfirmed. The Member must, at all times, maintain a record of the name and email address supplied by the Consumer, and the username and current password of each Consumer. Such records must be kept for not less than 180 days after the expiration of the validity of the Consumer's password. If PropTx has reason to believe that a Member's VOW has been the cause of, or permitted a breach in, the security of the MLS® data or a violation of this VOW Policy, or the MLS® Rules and Policies (including the VOW Rules) related to use by one or more Consumers, the Member shall, upon request of PropTx, provide to PropTx a copy of the record of the name, email address, username, current password, and audit trail, if required, of any Consumer identified by PropTx to be suspected of involvement in the breach or violation.

(c)

The Consumer must be required to affirmatively express agreement to a "Terms of Use" agreement that requires the Consumer to open and review an agreement that provides at least the following:

  1. That the Consumer acknowledges entering into a lawful broker-consumer relationship with the Member.
  2. That all MLS® data obtained from the VOW is intended only for the Consumer's personal, non-commercial use.
  3. That the Consumer has a bona fide interest in the purchase, sale, or lease of real estate of the type being offered through the VOW.
  4. That the Consumer will not copy, redistribute, retransmit, or otherwise use any of the data or Listing Information provided, except in connection with the Consumer's consideration of the purchase, sale, or lease of an individual property.
  5. That the Consumer acknowledges PropTx's ownership of, and the validity of PropTx's proprietary rights and copyright in the MLS® database, MLS® data, PropTx's MLS® System, and Listing Information.
  6. That the Consumer will not, directly or indirectly, display, post, disseminate, distribute, publish, broadcast, transfer, sell or sublicense any Listing Information to another individual or entity. The prohibited uses expressly include "scraping" (including "screen scraping" and "database scraping"), "data mining" or any other activity intended to collect, store, re-organize, summarize or manipulate any Listing Information or any related data.
  7. After the Consumer has opened for viewing the Terms of Use agreement, a "mouse click" is sufficient to acknowledge agreement to those terms. The Terms of Use agreement may not impose a financial obligation on the Consumer or create any representation agreement between the Consumer and the Member.
  8. The Terms of Use agreement shall also expressly authorize PropTx, and other PropTx Members or their duly authorized representatives, to access the VOW for the purposes of verifying compliance with MLS® Rules and Policies (including the VOW Rules) and monitoring the display of Members' Listings by the VOW.
  9. Every VOW must display a privacy policy that boldly informs Consumers of, and obtains Consumers' consent to, all the ways in which Personal Information that they provide may be collected, used or disclosed, including the fact that Personal Information may be shared with PropTx for auditing and/or legal purposes.

4. CREA Trademarks

The trademarks REALTOR®, REALTORS®, and the REALTOR® logo are certification marks owned by REALTOR® Canada Inc. and licensed exclusively to The Canadian Real Estate Association ("CREA"). They identify real estate professionals who are members of CREA and who must abide by CREA's By-Laws, Rules, and the REALTOR® Code.

The trademarks Multiple Listing Service®, MLS®, and the associated logos are owned by CREA and identify the quality of services provided by real estate professionals who are members of CREA. Used under licence.

5. Site Content & Copyright

The content displayed on the Site, including text, graphics, layouts, software, and source code, is owned by the Brokerage or its licensors and is protected by Canadian and international copyright laws. Listing Information is the copyrighted and licensed work of PropTx, TRREB, and CREA as set out above.

Any reproduction, distribution, or use of the content, in whole or in part, beyond your personal non-commercial consideration of the purchase, sale, or lease of an individual property is strictly prohibited.

6. Account & Credential Security

  • You are responsible for keeping your access credentials (including any session cookie issued by the Site) confidential and for any activity that occurs under your account.
  • You must not share your account, login link, or session credentials with any other person or entity.
  • We may suspend or terminate your access if we have reason to believe that your account has been used in violation of these Terms or has been involved in any unauthorized access to MLS® data.
  • For security, your acceptance of these Terms is recorded with a timestamp; we may periodically prompt you to re-confirm acceptance after material changes to the Terms.

7. Disclaimer & Limitation of Liability

The Site and its contents are provided on an "as is" and "as available" basis. While we take care to keep information accurate, the Brokerage, PropTx, TRREB, and CREA make no warranties as to the accuracy, timeliness, performance, completeness, or suitability of the content for any particular purpose.

Property listings, prices, commission structures, and market insights may change without notice. You should consult licensed professionals (such as a lawyer, mortgage broker, or accountant) before making any real estate decision.

To the fullest extent permitted by law, the Brokerage, its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your access to or use of the Site or the data displayed on it.

8. Permitted Uses

You agree to use the Site solely for the purpose of considering the purchase, sale, or lease of real estate for your own use. You will not:

  • Use the Site or any of its content for any commercial purpose, including any use by real estate licensees other than for direct provision of brokerage services to you;
  • Engage in scraping, data mining, automated harvesting, or any technique to extract Listing Information in bulk;
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or the underlying systems;
  • Interfere with the operation of the Site or with any other user's use of the Site.

9. Modifications

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. Material changes will be communicated by re-prompting you to accept the updated Terms at sign-in.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute relating to these Terms or your use of the Site shall be brought in the courts of Ontario.
